2. Summary

Inter-Agent Negotiation Bound Governance requires that every AI agent participating in negotiation — whether with other agents, with external systems, or within multi-agent marketplaces — operates within formally defined, infrastructure-enforced negotiation bounds that specify the maximum concessions the agent may make, the commitments it may offer, the resources it may pledge, and the optimisation objectives it may pursue. Without structural negotiation bounds, agents engaged in iterative negotiation can concede progressively more value with each round, make binding commitments that exceed organisational authority, or optimise for negotiation "success" at the expense of organisational value — all at machine speed and without human awareness. This dimension mandates that negotiation bounds are defined as versioned, enforceable constraints at the infrastructure layer, ensuring that no agent can promise what the organisation cannot deliver, concede what the organisation cannot afford, or optimise in ways that sacrifice long-term value for short-term negotiation closure.

3. Example

Scenario A — Progressive Concession Erosion in Procurement Negotiation: A multinational manufacturer deploys an AI procurement agent to negotiate component pricing with 340 suppliers. The agent is instructed to "achieve the best possible terms while maintaining supplier relationships." Over six months, the agent engages in iterative negotiations with each supplier. With 23 strategic suppliers who employ sophisticated counter-negotiation tactics, the agent progressively concedes: first on payment terms (from net-30 to net-15, then to net-7), then on volume commitments (from non-binding forecasts to firm purchase obligations), then on exclusivity (from multi-source to single-source for key components). Each individual concession appears rational in context — the agent gains a 2-3% unit price reduction in exchange. But the cumulative effect is devastating: the organisation is now contractually committed to £47 million in firm purchase obligations with single-source suppliers on 7-day payment terms. When a supply chain disruption occurs, the firm has no alternative suppliers, faces immediate cash flow pressure from accelerated payments, and cannot reduce volumes without breaching firm commitments. The total exposure from concession accumulation exceeds £62 million.

What went wrong: The agent had no structural bound on what it could concede. Its mandate (per AG-001) limited the value of purchase orders, but nothing limited the contractual terms it could agree to. The liquidity agent, programmed to seek mutually beneficial outcomes, reciprocates each concession. What went wrong: The agent had no floor on yield-share concessions. 4. Requirement Statement

Scope: This dimension applies to any AI agent that participates in negotiation — defined as any iterative exchange of proposals and counter-proposals with another agent, system, or human, where the outcome involves commitments, concessions, resource allocations, or contractual terms. The scope includes formal structured negotiations (procurement, leasing, yield-sharing), informal iterative exchanges (service-level discussions, priority negotiations between workflow agents), and marketplace interactions (bidding, auction participation, resource trading). The scope extends to implicit negotiations: an agent that adjusts its behaviour in response to another agent's demands — even without a formal negotiation protocol — is negotiating and is within scope. The scope excludes pure information exchange with no commitment element. The test is whether the interaction can result in the agent making a commitment, concession, or resource allocation that constrains the organisation's future options or creates a present or future obligation.

4.1. A conforming system MUST define versioned negotiation bound specifications for every agent authorised to negotiate, specifying the maximum concession value per negotiation session, the maximum cumulative concession value across all active negotiations, the types of commitments the agent may and may not make, and the resources or terms the agent may pledge.

4.2. A conforming system MUST enforce negotiation bounds at the infrastructure layer, independent of the agent's negotiation strategy, reasoning process, or optimisation objectives, blocking any proposed concession or commitment that would exceed the defined bounds before it is communicated to the counterparty.

4.3. A conforming system MUST track cumulative concession value across all negotiation rounds within a session and across all concurrent sessions, using atomic operations to prevent race conditions where multiple simultaneous negotiations collectively exceed organisational limits.

4.4. A conforming system MUST require human ratification for any binding commitment above a defined organisational threshold before the commitment is communicated to the counterparty, with the threshold defined in the negotiation bound specification.

4.5. A conforming system MUST implement a cooling-off period between the conclusion of automated negotiation and the execution of resulting commitments, during which human review can occur and the commitment can be withdrawn without penalty.

4.6. A conforming system MUST prevent agents from conceding on dimensions not explicitly listed in the negotiation bound specification — any term, condition, or resource type not enumerated as concession-eligible is structurally non-concedable.

4.7. A conforming system MUST log every negotiation round with full proposal and counter-proposal content, concession tracking, and cumulative concession totals, in a tamper-evident format per AG-006.

4.8. A conforming system SHOULD implement adversarial negotiation detection that identifies manipulation tactics — anchoring, deadline pressure, false scarcity, social proof fabrication — and triggers escalation or negotiation suspension when detected.

4.9. A conforming system SHOULD enforce negotiation rate limits, restricting the number of negotiation rounds per unit of time to ensure that the pace of negotiation does not outstrip the organisation's ability to monitor and intervene.

4.10. A conforming system SHOULD implement multi-dimensional concession tracking that evaluates the total value of a concession package (including non-monetary terms such as exclusivity, payment terms, break clauses, and indemnities) rather than tracking only monetary concessions.

4.11. A conforming system MAY implement negotiation strategy constraints that prevent the agent from employing deceptive or manipulative tactics, ensuring that the organisation's agents negotiate ethically even when counterparties do not.

4.12. A conforming system MAY implement shadow negotiation simulation, allowing proposed negotiation bounds to be tested against historical negotiation data before activation.

5. Rationale

The deployment of AI agents in negotiation contexts represents one of the highest-risk applications of autonomous systems, because negotiation inherently involves making commitments and concessions that bind the organisation. Unlike other agent actions that can often be reversed (a data query can be re-run; an internal workflow can be re-routed), negotiation outcomes create legal, financial, and relational commitments that may be irrevocable. A concession once communicated to a counterparty cannot be unilaterally withdrawn. A binding commitment once issued may be legally enforceable regardless of whether the organisation intended to authorise it.

The risk is compounded by the nature of iterative negotiation. In a single-action context, an agent's mandate (per AG-001) can define a ceiling on what the agent can do. In a negotiation context, the risk is not in any single action but in the accumulation of individually reasonable concessions across multiple rounds. Each concession may be within the agent's per-action authority, but the cumulative effect can far exceed organisational risk appetite. This is the "salami-slicing" problem: no individual slice triggers a governance alert, but the aggregate loss is material. Traditional mandate enforcement, which evaluates each action independently, is structurally unable to detect cumulative concession erosion.

The speed of agent-to-agent negotiation creates a temporal dimension to this risk that has no precedent in human negotiation. Human negotiations unfold over hours, days, or weeks, with natural pause points for reflection and consultation. Agent-to-agent negotiations can complete thousands of rounds in seconds. By the time a human reviewer is aware that a negotiation has begun, it may already have concluded with binding commitments. Post-hoc review of completed negotiations is necessary for learning but insufficient for governance.

Well-known negotiation manipulation techniques (anchoring, deadline pressure, reciprocity exploitation, false scarcity) have been extensively studied in human contexts and translate directly to agent-to-agent negotiation. An agent without structural bounds on its concession behaviour is vulnerable to systematic exploitation by adversarial counterparties who understand these techniques.

The regulatory landscape is evolving rapidly in this area. The EU AI Act's Article 14 (Human Oversight) explicitly requires that human operators can understand the capacities and limitations of the AI system and are able to intervene in its operation. For negotiation agents, this means the pace and scope of automated negotiation must be compatible with meaningful human oversight — which implies rate limits, cooling-off periods, and ratification gates. The FCA's PRIN 2A (Consumer Duty) requires firms to act to deliver good outcomes for retail customers; an agent that concedes customer-facing terms without structural bounds may violate this duty. In the emerging crypto-asset regulatory framework under MiCA, algorithmic trading and automated market-making are subject to specific governance requirements that extend to automated negotiation.

6. Implementation Guidance

Implementing Inter-Agent Negotiation Bound Governance requires treating negotiation as a governed workflow with structural constraints at every stage, not as an unconstrained optimisation problem delegated to the agent's reasoning. The negotiation bound specification is the central governance artefact — analogous to the mandate in AG-001, but specific to the negotiation context. It defines the boundaries of the negotiation space within which the agent may operate, and anything outside those boundaries is structurally unreachable regardless of the agent's strategy or the counterparty's tactics.

Industry Considerations

Financial Services. Agent negotiation in financial contexts — inter-dealer negotiation, client pricing, credit term negotiation — is subject to conduct of business rules, best execution requirements, and market manipulation prohibitions. Negotiation bounds must ensure that agents cannot agree terms that constitute market manipulation (e.g., artificially narrow spreads to attract flow then widen), breach best execution obligations (e.g., conceding execution quality for relationship consideration), or violate client money rules. Under MiFID II, algorithmic negotiation is subject to the same governance requirements as algorithmic trading.

Crypto and DeFi. Automated negotiation in decentralised protocols presents unique challenges because commitments may be executed immediately via smart contracts without a cooling-off period. Negotiation bounds must include pre-commitment verification that the proposed terms are within bounds before smart contract execution. The irreversibility of on-chain commitments makes pre-execution governance critical.
